Our liability for any claims arising from our services shall be limited to the amount of fees paid for the specific services in question. In no event shall SmartStrategist be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, business interruption, or project delays, even if we have been advised of the possibility of such damages.
SmartStrategist shall not be liable for any failure or delay in performance under these terms which is due to fire, flood, earthquake, elements of nature, acts of God, acts of war, terrorism, riots, civil disorders, rebellions, or other similar causes beyond our reasonable control. In such events, we will make reasonable efforts to resume services as soon as practicable.
These Terms of Service and any disputes arising from them shall be governed by and construed in accordance with the laws of Luxembourg. Any legal proceedings relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Luxembourg. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
Either party may terminate a service agreement with reasonable notice as specified in individual contracts. SmartStrategist reserves the right to terminate or suspend access to our website and services immediately, without prior notice or liability, if you breach any of these Terms of Service. Upon termination, your right to use our services will cease immediately, and any outstanding fees for completed work will remain due and payable.
